These Terms and Conditions / Membership Policy govern your use of the TAIWANIZE website, membership system, VIP membership program, store credits, member points, related benefits, customer service, and all related services provided by Nai Zhi Cultural & Creative Co., Ltd. and its designated channels.
1. Introduction and Scope
- These Terms and Conditions / Membership Policy (the “Terms”) govern the rights, obligations, and responsibilities of both parties in connection with your use of the TAIWANIZE website, membership system, VIP membership program, store credits, member points, related benefits, customer service, and all related services provided by Nai Zhi Cultural & Creative Co., Ltd. and its designated channels.
- These Terms shall be read together with TAIWANIZE’s Privacy Policy, VIP Policy, Return and Exchange Policy, Shipping Policy, payment information, campaign rules, and other related notices, all of which together form the complete rules governing your use of this website and related services.
- By completing membership registration, logging into your account, using membership services, placing an order, joining an event, or otherwise continuing to use the TAIWANIZE website or related services, you acknowledge that you have read, understood, and agreed to be bound by these Terms.
- If you do not agree to all or any part of these Terms, you must immediately stop registering, stop using membership services, and stop using this website and related services.
2. Effect, Amendments, and Notices
- TAIWANIZE may, at any time, revise, add, remove, adjust, or terminate these Terms, the membership program, membership benefits, promotional content, terms of use, and related policies for reasons including but not limited to legal changes, operational needs, system adjustments, membership program updates, marketing arrangements, fulfillment processes, risk control, or any other reasonable necessity.
- Any such updates, revisions, additions, removals, or termination may be announced or communicated through website notices, membership center displays, email, SMS, LINE notification messages, customer service system messages, or any other method TAIWANIZE considers appropriate.
- Unless otherwise required by law or otherwise stated by TAIWANIZE, updated content takes effect upon announcement or notice.
- If you continue to use this website, membership services, or complete any transaction after these Terms have been updated, you will be deemed to have read, understood, and agreed to the updated content.
- To the extent permitted by law, TAIWANIZE reserves the final right to interpret, apply, adjust, and determine these Terms, the membership program, and all related benefits and promotional content.
3. Membership Registration and Account Management
- You may register as a member through the TAIWANIZE website or through the registration process available at designated TAIWANIZE directly operated stores.
- You must provide true, complete, and verifiable information, including but not limited to your real name, mobile phone number, email address, and any other information required by the system, and complete all required verification steps before becoming a member.
- You warrant that all information you provide is accurate, complete, and free from impersonation, forgery, falsification, fabrication, or any other misrepresentation. If any information is false, incorrect, expired, incomplete, impersonated, unverifiable, or otherwise affects membership integrity, fair dealing, or risk control, TAIWANIZE may refuse registration, restrict use, suspend services, cancel membership, or adjust related account benefits.
- In principle, each user may hold only one membership account. If TAIWANIZE determines that there are duplicate applications, multiple accounts, abnormal related accounts, split purchases, arbitrage activity, or other conduct inconsistent with ordinary consumer use, TAIWANIZE may merge, delete, restrict, cancel, or adjust the relevant accounts, accumulated spending, store credits, points, and all related membership benefits.
- Account credentials, verification information, membership status, membership tier, accumulated spending, store credits, points, coupons, and other membership benefits may not be transferred, lent, rented, assigned, inherited, gifted, or otherwise provided to any third party, nor may they be used for purposes other than ordinary purchases from TAIWANIZE.
- You are responsible for properly safeguarding your account and related verification information. Any login, use, transaction, request, redemption, exchange, refund, or other action made through your account shall be deemed to have been made by you, and the account holder shall bear full responsibility.
- TAIWANIZE may review membership accounts, member identity, transaction status, and registration information at any time in accordance with applicable law, these Terms, operational needs, or risk control requirements.
4. Membership Services and Related Policies
- Membership services include, without limitation, membership registration, member login, spending accumulation, membership tiering, tier upgrades and downgrades, renewals, store credits, points, birthday offers, welcome offers, membership notifications, specific member campaigns, and other services offered by TAIWANIZE from time to time.
- The thresholds, validity periods, renewal requirements, store credits, points, birthday gifts, usage restrictions, and other specific details for each membership tier shall be governed by the latest TAIWANIZE VIP Policy, the membership center, campaign pages, and related notices.
- If these Terms conflict with any specific campaign, promotion, VIP Policy, store credit or point notice, or other individual announcement, the conditions announced by TAIWANIZE for that specific matter shall prevail unless expressly stated otherwise.
5. Membership Status, Tiering, Upgrades, Renewals, and Downgrades
- Membership tiers shall be automatically determined, upgraded, renewed, or downgraded by the system based on a member’s valid accumulated spending within the applicable period, in accordance with the latest TAIWANIZE VIP Policy.
- TAIWANIZE may adjust the names, thresholds, validity periods, renewal requirements, reward methods, and benefits of membership tiers at any time, and the latest published version shall prevail.
- All upgrades, renewals, and downgrades are subject to final system determination. TAIWANIZE reserves the right to adjust, correct, or cancel abnormal accumulations, incorrect accumulations, duplicate accumulations, or disputed transaction amounts.
- Whether the order amount or any part thereof that triggers an upgrade or renewal may count toward the next upgrade or renewal shall be determined by the latest TAIWANIZE VIP Policy and system settings.
- If an order is canceled, returned, partially returned, refunded, disputed, unpaid, identified as abnormal, or otherwise deemed by TAIWANIZE not to qualify as valid spending, the related amount shall not count toward any tier upgrade, renewal, or membership qualification determination.
- If refunds, returns, partial returns, order cancellations, disputed transactions, abnormal accumulations, or other circumstances cause a member’s final valid spending to fall below the threshold for the relevant tier, TAIWANIZE may adjust, downgrade, cancel, or retroactively revise the membership status and related benefits accordingly.
6. Determination of Accumulated Spending and Valid Spending
- Whether spending at TAIWANIZE directly operated stores or on the website qualifies as valid accumulated spending, how the actual paid amount is calculated, when it takes effect, and whether it may be used as the basis for upgrades or renewals shall all be governed by the latest TAIWANIZE VIP Policy, system settings, and official notices.
- In general, only valid transactions completed through designated TAIWANIZE channels after membership registration has been completed and membership status has taken effect may count toward accumulated spending.
- Shipping fees, service fees, store credit deductions, point deductions, coupon deductions, discount code deductions, gifts, specially designated products, staff discounts, group orders, abnormal orders, and any other items designated by TAIWANIZE as excluded shall not count as valid accumulated spending.
- TAIWANIZE may determine whether any specific transaction qualifies as valid accumulated spending based on transaction risk, campaign rules, fulfillment status, system determination, and case-specific facts.
- Members are responsible for checking their order history, membership tier, store credit balance, and point balance through the membership center on a regular basis. Any objections must be raised within the time period specified in these Terms.
7. Store Credits, Points, Coupons, and Other Rewards
- Store credits, member points, coupons, birthday gifts, welcome gifts, and other member benefits are promotional or membership reward tools provided by TAIWANIZE free of charge. They do not constitute cash and may not be redeemed for cash, exchanged for change, transferred, gifted, pledged, offset, or claimed as compensation in any form.
- The eligibility thresholds, usage conditions, applicable products, redemption methods, validity periods, whether they may be combined, whether they may be stacked, whether they may be used in stores or online, and all other specific restrictions shall be governed by the latest TAIWANIZE VIP Policy, membership center, checkout pages, campaign pages, or the applicable notice.
- If a member uses store credits, points, coupons, discount codes, or any other reward tool in an order, and that order is later canceled, returned, partially returned, refunded, exchanged, disputed, abnormal, or otherwise no longer qualifies for the original reward conditions, any used store credits, points, coupons, discounts, or other benefits will generally not be restored, and any rewards generated by the original order may also be canceled, deducted, adjusted, or reset by TAIWANIZE.
- For equal-value exchanges, exchanges with price differences, partial returns, full returns, repurchases after returns, or other special situations, the use, restoration, reissuance, cancellation, or adjustment of store credits, points, and coupons shall be determined by TAIWANIZE in accordance with then-current system rules and the facts of the individual case.
- TAIWANIZE reserves the final right to interpret and determine the issuance, cancellation, expiration, termination, adjustment, and usage rules of store credits, points, coupons, and other reward tools.
8. Abuse of Membership Benefits and Abnormal Transactions
- If TAIWANIZE has reason to believe that a member has engaged in any of the following, TAIWANIZE may, at its sole discretion, take appropriate measures, including but not limited to restricting use, canceling benefits, deducting store credits or points, correcting accumulated spending, suspending accounts, downgrading membership, terminating membership, refusing transactions, refusing return or exchange requests, or reserving the right to take further legal action:
- Providing false, forged, impersonated, or non-personal information;
- Duplicate registrations, multiple accounts, shared accounts, transferred accounts, or related-account arbitrage;
- Malicious order brushing, fictitious transactions, abnormal transactions, order washing, split-order arbitrage, or repeated orders;
- Returns, exchanges, refunds, or redemptions inconsistent with ordinary consumer conduct or good faith principles;
- Improperly obtaining, accumulating, deceiving, transferring, exchanging, or abusing spending amounts, store credits, points, coupons, or membership benefits;
- Interfering with the normal operation of the website, systems, campaign mechanisms, or membership program;
- Violating these Terms, other related policies, or applicable law;
- Any other conduct that TAIWANIZE determines may affect transaction security, the fairness of the membership system, fulfillment order, or business interests.
- TAIWANIZE may take immediate action without prior notice in cases of abnormal transactions, abuse of membership benefits, or conduct contrary to good faith, and may also refuse any subsequent use of this website, membership services, or future orders where necessary.
- The actions described above do not affect TAIWANIZE’s right to seek damages, report to law enforcement, notify relevant parties, or otherwise assert any legal rights arising from the matter.
9. Orders, Fulfillment, Returns, Exchanges, and Refunds
- Product transactions, shipping, payment, returns, exchanges, refunds, order cancellations, and related after-sales matters shall be handled in accordance with TAIWANIZE’s latest Return and Exchange Policy, Shipping Policy, payment page, checkout page, and related notices, unless otherwise stated in these Terms.
- TAIWANIZE reserves the right to review, confirm, risk-assess, cancel, reject, restrict fulfillment of, or request additional information for any order.
- If a member or customer requests a return, partial return, exchange, or refund for personal reasons and the original order no longer qualifies for a membership upgrade, renewal, store credit, points, coupon, free shipping, threshold gift, or other promotional condition, TAIWANIZE may cancel, deduct, adjust, or decline to restore all or part of the original benefits that had been applied.
- TAIWANIZE reserves the final right to determine the condition, completeness, eligibility, defect status, malicious nature, or policy abuse nature of returned products.
- International orders, designated items, hygiene products, special campaign items, clearance items, bundled promotional items, or other items designated by TAIWANIZE as non-returnable or non-exchangeable shall be governed by the applicable notices and policy descriptions in effect at the time.
10. Notices, Messages, and Marketing
- When you become a member or use this website and related services, you agree that TAIWANIZE may, in accordance with its Privacy Policy and applicable law, use the personal data you provide to send you notices related to transactions, orders, shipping, membership benefits, store credits, points, birthday gifts, system messages, service updates, risk alerts, and other necessary operational matters.
- To the extent permitted by law and within the scope of the Privacy Policy, you also agree that TAIWANIZE may send you brand information, product updates, membership events, promotional content, remarketing ads, personalized recommendations, or other marketing information by email, SMS, LINE notification messages, website push notifications, social platforms, or other appropriate methods.
- Notification messages, membership notices, transaction notices, and service notices may be sent subject to system conditions, communication platform settings, and third-party platform rules. TAIWANIZE does not guarantee successful delivery of every notice.
- If you wish to stop receiving marketing notices, you may follow the unsubscribe method provided in each message or contact us through the customer service button at the bottom right of the website.
11. Intellectual Property and Website Use Restrictions
- All text, images, designs, trademarks, layouts, product information, audiovisual content, code, system functions, and other content on this website, the membership system, and related services are owned by TAIWANIZE or its lawful rights holders.
- Without prior written consent from TAIWANIZE, no person may extract, copy, download, reproduce, adapt, resell, distribute, publicly transmit, data mine, commercially exploit, or otherwise use any such content in any unauthorized way.
- You may not interfere with, damage, intrude into, test, scrape, monitor, bypass, or attempt to affect the normal operation of this website, the membership system, campaign mechanisms, or any related technical functions in any manner.
- If any of the above rules are violated, TAIWANIZE may immediately suspend service, block the account, cancel transactions, and pursue legal liability accordingly.
12. Termination, Suspension, and Record Retention
- TAIWANIZE may terminate, suspend, restrict, or cancel membership status and related benefits at any time under any of the circumstances set out in these Terms.
- Members may also request termination of membership at any time through the customer service button at the bottom right of the website. However, TAIWANIZE may still retain relevant transaction and membership records as required by law or as necessary for accounting, tax, dispute handling, legal affairs, fraud prevention, or risk management.
- After membership is terminated, unless otherwise required by law, the account’s transaction history, store credits, points, coupons, membership tier, and other related benefits may all be terminated, invalidated, and not restored.
13. Limitation of Liability
- TAIWANIZE will use reasonable efforts to maintain the normal operation of the website, membership system, and related services. However, except as otherwise required by mandatory law, TAIWANIZE shall not be liable for damages, delays, data errors, failed notices, or transaction inconvenience caused by system maintenance, network interruptions, equipment failures, third-party platform issues, shipping delays, payment failures, force majeure, natural disasters, government action, communication disruptions, or any other cause not attributable to TAIWANIZE.
- TAIWANIZE may adjust or terminate the membership program, promotional campaigns, store credits, points, membership benefits, notice methods, and system display content based on actual operating conditions. Unless otherwise required by law, members shall have no claim for compensation or damages arising from such adjustment or termination.
- If any provision of these Terms is found invalid, illegal, or unenforceable under law, the validity of the remaining provisions shall not be affected.
14. Governing Law, Language, and Jurisdiction
- These Terms and all related transactions, membership services, disputes, and resulting legal relationships shall be governed by and interpreted in accordance with the laws of the Republic of China (Taiwan).
- If these Terms are translated into any other language, the Traditional Chinese version shall prevail.
- Any dispute arising out of or in connection with these Terms, this website, membership services, the membership program, store credits, points, orders, transactions, or related matters shall first be resolved through good-faith negotiation. If such negotiation fails, the Taipei District Court of Taiwan shall be the court of first instance with jurisdiction.
15. Miscellaneous
- These Terms, together with TAIWANIZE’s separately announced campaign pages, promotional pages, membership benefit descriptions, VIP Policy, Return and Exchange Policy, Shipping Policy, and Privacy Policy, constitute the entire agreement governing your use of the website, membership services, and transactions with TAIWANIZE.
- To the extent permitted by law, TAIWANIZE reserves the final right to interpret, amend, adjust, reduce, supplement, and determine these Terms, the membership program, membership eligibility, accumulated spending, store credits, points, promotional benefits, orders, returns, exchanges, and related rules.
